- The terms and conditions set out below govern the sale of all equipment and any other products sold by Eyesonic to the customer in question with respect to this invoice.
- Credit Application: If the customer has signed a Credit Application which Eyesonic has accepted, then the term and conditions of such Credit Application shall be in addition to the terms and conditions of this invoice.
- If there is any conflict between the terms and conditions this invoice and any terms contained in the customer’s purchases order or any other correspondence from the customer, the terms and conditions contained in this invoice shall govern the transaction in question, Eyesonic’s acceptance of the customer’s order is expressly conditioned upon the customer’s acceptance of the terms and conditions of this invoice and the customer’s acceptance may be established by written acknowledgement, by implication, by delivery or by payment for the product in question. Any changes to the terms and conditions of this invoice must be in writing and duly signed by an officer of Eyesonic. The retention by the customer if any products sold and delivered to it for more than 14 days shall be deems to be acceptance of the terms and conditions of this invoice.
- Delivery: Customer shall pay for the shipping cost of delivery. Eyesonic shall not responsible for any loss, damage, delay, or failure with respect to the products if these are due to or arise from a shortage of raw materials, fairs, labor troubles of any kind, accidents, breakdown of machinery, government acts of any kind, failure of manufacturers, subcontractors or suppliers to deliver materials or supplies or to provide services as agreed or contemplated by past dealings, transportation difficulties of any kind, insurrection or civil commotion, acts of God, acts of the customer or any other contingencies reasonably beyond Eyesonic’s control, whether or not presently occurring or contemplated by either party. Eyesonic shall not be liable for damages, general, consequential or otherwise, or for failure to give notice of any delay until it shall have such additional time as may be necessary within which to deliver the products, and shall have the right to apportion its production among its customer in a manner it considers reasonable. Eyesonic shall also have the right to deliver the products in installments, if the circumstances so dictate.
- Exclusion of Warranties. Warranties may be applied only for merchandise which contains manufacturer’s defects. Eyesonic assigns to its customer only those warranties extended by its suppliers. Eyesonic does not itself warrant any product which it sells. THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE, WHICH EXTEND BEYOND THE DESCRIPTION ON THE FACE HEREOF. IN NO CASE SHALL EYESONIC BE LIABLE TO ANYONE FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES FOR BREACH OF THIS OR ANY OTHER WARRANTY, EXPRESS OR IMPLIED,OR UPON ANY OTHER BASIS OF LIABILITY WHATSOEVER, EVEN IF THE LOSS OR DAMAGE IS CAUSED BY ITS OWN NEGLIGENCE OR FAULT. Eyesonic does not represent that the products it sells may not be compromised or circumvented; that the products will prevent any personal injury or property loss by burglary, robbery, fire or otherwise; or that the products will in all cases provide adequate warning or protection. The customer understands that a properly installed and maintained alarm or surveillance system may only reduce the risk of a burglary, robbery or fire without warning, but it is not insurance or a guarantee that such will not occur or that there will be no personal injury or property loss as a result. CONSEQUENTLY, EYESONIC SHALL HAVE NO LIABLILITY FOR ANY PERSONAL INJURY, PROPERTY DAMAGE OR OTHER LOSS BASED ON A CLAIM THE PRODUCT FAILED TO GIVE WARNING. However, if Eyesonic is held liable, whether directly or indirectly, of any loss or damage with respect to the products it sells, regardless of cause of origin, its maximum liability shall not in any case exceed the purchase price of the products, which amount shall be fixed as liquidate damages and not as a penalty, and shall be a complete and exclusive remedy against Eyesonic.
- Limitation on Liability to Eyesonic’s Customer; indemnification of Eyesonic. Eyesonic limits its liability to its customers to the fullest extent permitted by law. By accepting the goods, to the fullest extent permitted by law, the customer assumes all liability for and agrees to indemnify and hold Eyesonic harmless against and defend Eyesonic from any and all law suits, causes of action and judgments relating to loss or damages, whether for personal injury or property damage, suffered by any person, firm, corporation or business association or any other entity, including, but not limited to, the customer’s own customers and/or any other end users of the goods because of a failure of the goods to detect and/or warn of the danger for which the goods were designed, whether or not such damages are caused by or contributed to by the sole or joint concurring negligence of Eyesonic.
- Return Policy: re: Return for Credit for Unused Merchandise. Eyesonic will accept a return for account/store credit to the customer of only unused products in original packages and in such condition that Eyesonic can sell as new, provided that the item was purchased from Eyesonic not more than fourteen (14) days prior to the date of return. Customer must provide proof of purchase within the said fourteen (14) days and such account credit can be used for future purchases by the customer, no cash refund. Any credit so given by Eyesonic may only be used by the same customer and is not transferable or assignable to anyone else.
- Return Policy: re: Return for Refund or Credit on Merchandise Loaned to Customer for Temporary Demo/Testing Purpose. Customer must return any used demo unit(s) prior to or on the return date (which date must have been mutually agreed upon with customer; or within fourteen (14) days, if not so agreed upon) stated on the corresponding demo invoice(s); otherwise, Eyesonic has the right to refuse a refund or issue credit to the customer and may charge the customer item(s) as purchased item(s) with the credit terms initially agreed upon as stated in the credit application form, if the customer has executed a credit application form.
- Return Policy: re: Return for Credit on Used, Non-Defective Merchandise. Merchandise which is physically damaged in any way, including scratches, and CANNOT be sold as new will be charged as a normal purchase.
- Return Policy: re: Special Order Merchandise. Merchandise which by special order or customized merchandise is non-returnable and considered a final sale.
- Warranty Policy on Merchandise Claimed as Defective by Customer. For Merchandise which is manufacturing defective. Eyesonic offers three (3) years warranty for Eyesonic cameras, DVR, NVR & PoE Switch; two (2) years warranty for PTZ & Doorbell Intercom; three (3) years warranty for Access Control system; one (1) year warranty for Hard Drive, Monitor and other accessories. Customer must provide a copy of the purchasing invoice for the item being returned and pay for the shipping cost for goods return. As such, Customer is warranting that the product is initially defective. Eyesonic will in good faith, take this unit and send it to the designated manufacturer. If, however, upon inspection the manufacturer determines that the product is not defective, or out of warranty, or installed/used improperly, or that the product was abused, the customer shall pay any charges incurred by Eyesonic relating to the product, as well as any replacement product previously given.
- Labour Warranty: One (1) year labour warranty from the date Eyesonic directly installed and under merchandise warranty which claim as manufacturing defect under normal use and conditions.
- Repairs of Customer-Owned Equipment. Eyesonic encourages the customer to return products directly to the manufacturer or any other approved service location for prompt warranty or other repair service. As a convenience to, and on behalf of the customer, however, Eyesonic will ship products for warranty or other service to the appropriate vendor or manufacturer, in which event any repairs, shipping or handling costs will be passed on to the customer. For return merchandise, Eyesonic requires customers to pay for shipping to Eyesonic office/warehouse.
- Password Reset Policy: To reset an Eyesonic camera & recorder password, customer must provide Eyesonic model number and serial number.
A forgotten password for a device is generally not covered by the warranty; our hardware password reset services are only available for a maximum of Five (5) years from date of the purchase. Effective January 1, 2026, we charge$300.00 CAD plus tax for a one-time secure code to reset specific Cameras and DVRs/NVRs. Payment accepted by credit card only. - Taxes. Invoice prices do not include any provincial sales, excise or similar taxes. Consequently, in addition to the prices specified on the invoice, the amount of any present or future tax that may be imposed shall be paid by the customer, or in lieu thereof the customer will provide Eyesonic with a tax-exemption certificate acceptable to the tax authorities.
- Purchased on Credit. This purchase, or prior purchases of customer from Eyesonic, may have given rise to the extension of credit to the customer by Eyesonic. Eyesonic reserves the right, at any time, to revoke any credit extended to the customer because of the customer’s failure to pay for any products when due or for any other reason deemed good and sufficient by Eyesonic, and in such event all costs of all subsequent shipments shall be paid for on delivery. If this invoice is not paid upon the due date, the customer agrees to pay any and all collection fees including court-ordered costs, interest, agency and attorney’s fees, whether incurred in or other of court, on appeal, in arbitration, in Bankruptcy Court, in any insolvency or other type of proceedings.
- Waiver. No waiver by Eyesonic of any of these Terms shall be deemed to constitute a waiver of these terms and conditions or a waiver of the same or any other provision of these terms and conditions with regard to portions of this transaction or future transactions.
- Errors. Typographic, spelling, grammatical and clerical errors and omissions in the invoice are subject to correction by Eyesonic and shall not, under any circumstances; result in any changes to the meanings of these terms and conditions.
- Applicable Law. All sales by Eyesonic to the customer shall be deemed to be entered into in the Province of British Columbia, Canada, and the laws of British Columbia shall govern its validity, performance and construction. Except in the Province of Quebec, all customers agree to attorn to the jurisdiction of the courts of British Columbia, irrespective of whether or not such customer is, or has been, at any time, ordinarily resident in the Province of British Columbia, and irrespective of whether or not such customer is, or has been, at any time, carrying on business in the Province of British Columbia. All customers further agree that any judgment obtained by Eyesonic in any court in the Province of British Columbia may be registered in any Province, State or other jurisdiction where the customer is ordinarily resident or carrying on business, and such judgment may be enforced against the customer as if such judgment had been originally obtained in the jurisdiction in which the customer is ordinarily resident or otherwise carrying on business.
- Additional Costs. Eyesonic will not be responsible and will not be held liable for any cost/charges related to installation of the products.
